Terms of Service

1. Agreement to Terms
By accessing or using the services provided by EarlyDot Tech Private Limited ("EarlyDot," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all clients, contractors, and other parties who access or use our product engineering and software development services.
2. Services
EarlyDot provides product engineering services including but not limited to:
- Web application development
- Mobile application development
- Cloud infrastructure and backend development
- AI and intelligent solutions integration
- Technical consulting and advisory services
The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between EarlyDot and the client.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for us to deliver the agreed services
- Respond to queries and provide feedback in a timely manner to avoid project delays
- Ensure you have the necessary rights and permissions for any content, data, or materials you provide to us
- Make payments according to the agreed payment schedule
- Designate authorized representatives to make decisions on behalf of your organization
4. Intellectual Property
4.1 Client Materials
You retain all rights to any materials, content, data, or intellectual property you provide to us for the purpose of delivering services.
4.2 Deliverables
Upon full payment of all fees, ownership of custom work product and deliverables created specifically for you shall transfer to you, unless otherwise specified in the project agreement.
4.3 Pre-existing Materials
EarlyDot retains ownership of all pre-existing tools, frameworks, methodologies, and intellectual property that we may use or incorporate into deliverables. We grant you a non-exclusive, perpetual license to use such pre-existing materials as part of the delivered solution.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes but is not limited to:
- Business plans and strategies
- Technical specifications and architectures
- Financial information
- User data and analytics
- Trade secrets and proprietary processes
Confidentiality obligations shall survive the termination of any engagement for a period of three (3) years.
6. Payment Terms
Payment terms, including amounts, schedules, and methods, will be specified in the project agreement or Statement of Work. Unless otherwise agreed:
- Invoices are due within 15 days of issuance
- Late payments may incur interest at 1.5% per month
- We reserve the right to pause work on projects with overdue payments
7. Warranties and Disclaimers
EarlyDot warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any defects in deliverables reported within 30 days of delivery.
Except as expressly provided herein, services are provided "as is" without warranty of any kind. We disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, EarlyDot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you to EarlyDot during the twelve (12) months preceding the claim.
9. Termination
Either party may terminate an engagement with 30 days written notice. Upon termination:
- Client shall pay for all services rendered up to the termination date
- EarlyDot shall deliver all completed work and work in progress
- Both parties shall return or destroy confidential information belonging to the other party
10. Dispute Resolution
Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction over any legal proceedings.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
